Summary
This workshop will dive into shareholder basis in S corporation holdings, including both stock and loan basis concepts and computations. You’ll be exposed to basis principals and the unique basis considerations for S corporation owners. Additionally, we’ll consider the sale of their S corporation stock and the sale of the S corporation as an asset sale. Finally, we’ll discuss the difficult issue of reverse-engineering basis when 100% accurate amounts cannot be found.
Objectives
Upon completion of this course, you will be able to:
- Calculate initial shareholder basis
- Describe the differences between stock basis and loan basis
- Calculate annual adjustments to shareholder stock and loan basis
- Establish basis on sale of the corporation (stock and asset sales)
- Reconstruct basis when records are sparce or non-existent
